Forms of Business Organisation

Sole proprietorship, general partnership, limited partnership, limited liability company, public limited company.

The limited liability company is the most common form of business organisation in Albania. Partners are only liable up to the value of their contribution to the company. Sole proprietorships are the simplest form of business organisation.

The law treats foreign and domestic firms equally and guarantees them from expropriation or nationalisation. Most sectors of the economy are open to foreign investment.

Limited Liability Company (Shoqëri me Përgjegjësi të Kufizuar)

Number of partners/shareholders:
One person or more.

Maximum and/or minimum capital:
Minimum 100 000 leks, about 800 EUR.

Liabilities:
Capital must be totally paid up when the company is formed.


Public Limited Company (Shoqëri Anonime)

Number of partners/shareholders:
No limit to holdings.

Maximum and/or minimum capital:
10 million leks.

Liabilities:
When the company is formed, 25% of the capital must be paid up and the rest within the following 5 years.

Limited Company

Number of partners/shareholders:
No limit to holdings.

Maximum and/or minimum capital:
2 million leks.

Liabilities:
When the company is formed, 25% of the capital must be paid up and the rest within the following 5 years.
